Churchill Capital Corp XIII is a Cayman Islands special purpose acquisition company formed to effect a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses; the company is headquartered in New York, New York, and was founded by Michael Klein. Its securities consist of units, Class A ordinary shares and redeemable warrants; each unit issued in the initial public offering comprised one Class A ordinary share and one-tenth of one redeemable warrant, and each whole warrant entitles the holder to purchase one Class A ordinary share at an exercise price of $11.50 per share. The company completed its upsized initial public offering on Aug. 3, 2026, selling 41.4 million units at $10.00 each and raising $414.0 million in gross proceeds. In Sept. 2026, Churchill Capital Corp XIII announced that holders of IPO units may separately trade the Class A ordinary shares and warrants beginning Sept. 18, 2026; the separated shares trade under XIII, the warrants trade under XIIIW, and units that are not separated continue to trade under XIIIU. The company has not announced a business combination target and has not generated operating revenues to date.
