AlphaVest Acquisition Corp (NASDAQ: ATMV; ATMVR) is a blank check company, or special purpose acquisition company (SPAC), formed in 2022 and headquartered in New York, NY, to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. The company offers no operating products or services of its own but provides a public listing vehicle through its capital-raising structure, including Class A ordinary shares, units and rights; it raised $69 million in its December 2022 initial public offering underwritten by EarlyBirdCapital and Revere Securities. AlphaVest initially focuses its target search on businesses in Asia while excluding any entity with China operations consolidated through a variable interest entity (VIE) structure; its management team, led by CEO Yong (David) Yan, leverages expertise in financial services, mergers and acquisitions, and operations across multiple jurisdictions to identify and pursue opportunities.
In August 2024, AlphaVest announced and executed a definitive business combination agreement valued at $175 million with AMC Corporation, a provider of native computer vision AI platforms for smart security and consumer electronics solutions including internet-connected smart home products and augmented reality wearables; the deal, structured via wholly owned subsidiary AV Merger Sub Inc., targets AMC's expansion into small-to-medium business use cases such as AI-powered warehouse patrol robots. AlphaVest shareholders approved the merger and related proposals at an extraordinary general meeting on September 5, 2025, followed by approval of a deadline extension on September 19, 2025, and execution of definitive agreements for $8 million in PIPE financing from a group of investors to accelerate AMC's product development. The transaction, previously preceded by termination of a prior deal with Wanshun Technology Industrial Group in March 2024, awaits final customary closing conditions including regulatory approvals and is expected to close in coming weeks, after which the combined entity will operate as AMC Corporation on NASDAQ under a new ticker with AMC's management team leading.
