Business
B&G Foods, Inc. (NYSE: BGS) manufactures, markets, and distributes a diverse portfolio of branded shelf-stable and frozen foods across the United States, Canada, and Puerto Rico. Headquartered in Parsippany, New Jersey, and formed in 1996 through the acquisition of the historic B&G pickle brand originating from 1889, the company offers products spanning baking ingredients including Clabber Girl baking powder, Rumford, and Davis; condiments and dressings such as B&G pickles, Polaner jams, Regina vinegars, and Henri's; household essentials like Static Guard; meal solutions encompassing B&M baked beans, Underwood spreads, Cream of Wheat hot cereals, and Bear Creek Country Kitchens dry soups; sauces and pizza crusts featuring Ortega Mexican sauces, Las Palmas enchilada sauces, Victoria pasta sauces, Mama Mary's pizza crusts, and Don Pepino tomatoes; and seasonings and marinades under Spice Islands, Tone's, Durkee, Dash, Trappey's hot sauces, and licensed Weber brands; as well as Crisco shortenings and oils, Maple Grove Farms syrups, Green Giant frozen and shelf-stable vegetables, Le Sueur peas, and other brands including New York Style crackers, Old London snacks, and McCann's Irish oatmeal. The company primarily serves supermarket chains, mass merchants, foodservice outlets, and specialty distributors through its network of manufacturing facilities in locations such as New Jersey, Vermont, New York, Iowa, Wisconsin, Indiana, Ohio, and Ontario. In recent strategic shifts, B&G Foods has pursued portfolio reshaping via multiple divestitures within the past two years, including the Green Giant U.S. shelf-stable vegetables to Seneca Foods in late 2023, the Portland, Maine facility in 2021, Don Pepino and Sclafani brands in Q2 2025, Le Sueur U.S. shelf-stable peas to McCall Farms in August 2025, and an agreement in October 2025 to sell Green Giant and Le Sieur brands in Canada to Nortera Foods expected to close in late 2025 or early 2026; these moves aim to sharpen focus on higher-margin core brands, reduce long-term debt toward a leverage ratio near five times, enhance cash flow, and improve EBITDA margins toward 20%, alongside amendments to its senior secured credit facility to adjust covenants and support ongoing deleveraging efforts.
