Headquartered in Ridgefield, Connecticut, FAST Acquisition Corp. was founded in 2020. In 2021, the company entered into a merger agreement valued at $6.6 billion with Fertitta Entertainment, Inc., encompassing Houston-based billionaire Tilman Fertitta's hospitality and restaurant businesses including Landry's Inc. and Golden Nugget gaming operations; the deal expanded in June 2021 to an $8.6 billion enterprise valuation before mutual termination later that year following disputes over termination rights and financial disclosures. As part of the settlement, Fertitta Entertainment provided FAST Acquisition Corp. with up to $33 million in cash, loans, and contingent payments to cover expenses and support future pursuits, culminating in a $26 million breakup fee upon non-completion of any business combination. Unable to complete an initial business combination by the August 25, 2022 deadline per its charter, FAST Acquisition Corp. redeemed all outstanding Class A common shares at approximately $10.02 per share effective August 26, 2022, ceased NYSE trading on August 25, 2022, and proceeded to dissolve and liquidate, with no distributions for warrants and ongoing litigation over asset allocation to Class B shares.
