Business
Graf Global Corp. (NYSE American: GRAF) is a blank check company, or special purpose acquisition company (SPAC), incorporated in the Cayman Islands and focused on effecting a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses, potentially in any industry or geographic region including the United States and Canada. The company conducts no substantive operations and generates no revenues prior to completing an initial business combination. Graf Global Corp. was incorporated on November 11, 2021, and is headquartered at 1790 Hughes Landing Blvd., Suite 400, The Woodlands, Texas 77380; it is led by CEO James A. Graf, who brings over 35 years of experience in SPACs, mergers and acquisitions, private equity, and capital markets. In June 2024, the company completed an initial public offering of 23 million units at $10.00 each, raising $230 million including the full exercise of the underwriters' over-allotment option managed by Cantor Fitzgerald & Co., with net proceeds deposited into a trust account available for a future business combination; shares and warrants commenced separate trading in August 2024. Recent institutional investments include AQR Capital Management LLC acquiring 1.57 million shares and Goldman Sachs Group Inc. purchasing 1.25 million shares as of September 30, 2024, representing new stakes of approximately 6.84% and 5.40% respectively; as of late 2025, the company has not announced a specific business combination target despite ongoing evaluations leveraging management's prior SPAC experience with entities like Graf Industrial Corp.
