(NYSE: JOF) is a closed-end management investment company that seeks long-term capital appreciation by investing, under normal circumstances, at least 80% of its total assets in smaller capitalization Japanese equity securities traded primarily on the Tokyo Stock Exchange and Nagoya Stock Exchange, as well as other appropriate indices or markets for small-cap companies in Japan; the Fund operates as a diversified fund under the Investment Company Act of 1940, with a portfolio spanning sectors such as retail trade, chemicals, banks, wholesale trade, iron and steel, information and communication, electric appliances, financing, food, utilities, construction, and real estate, managed through a rigorous fundamental analysis emphasizing growth potential and market positioning in the Japanese small-cap arena; Nomura Asset Management U.S.A. Inc. serves as the manager and Nomura Asset Management Co., Ltd. as the investment adviser, both subsidiaries of Nomura Holdings, Inc. and affiliates of Nomura Securities Co., Ltd. Founded in 1990 and headquartered in New York, NY, the Fund provides U.S. investors targeted exposure to Japan's niche smaller company equity market, which often exhibits higher growth prospects alongside elevated volatility and liquidity risks compared to large-cap peers. In June 2025, the Board approved key initiatives to address the Fund's persistent trading discount to net asset value, including a level distribution plan for consistent monthly payouts covering October, November, and December 2025, and a conditional tender offer to enhance shareholder value; more recently, in December 2025, Lazard Asset Management LLC disclosed a passive 12.3% beneficial ownership stake via Schedule 13G filing, positioning it as a significant institutional holder without intent to influence control.
