Sage Therapeutics, Inc. (SAGE) is a biopharmaceutical company committed to pioneering solutions to deliver life-changing brain health medicines targeting central nervous system disorders. The company discovers, develops, and commercializes treatments focused on postpartum depression and other brain health conditions through selective allosteric modulation of synaptic and extrasynaptic GABA and NMDA receptors; its commercially available products include ZURZUVAE (zuranolone), the first FDA-approved oral therapy for postpartum depression in adults; and ZULRESSO (brexanolone), an intravenous formulation for the same indication. Its pipeline encompasses clinical-stage candidates such as SAGE-324 for essential tremor and other GABA hypofunction disorders, along with earlier-stage programs for major depressive disorder, bipolar depression, Parkinson's disease, insomnia, and epileptiform disorders. Founded in 2010 and headquartered in Cambridge, Massachusetts, Sage operates primarily in the United States with subsidiaries in Europe including the United Kingdom, Germany, Switzerland, Scotland, England, and Wales. In June 2025, Sage entered a definitive agreement to be acquired by Supernus Pharmaceuticals in a transaction valued at up to $795 million, including $561 million in cash at $8.5 per share plus a contingent value right of up to $3.5 per share tied to commercial milestones for ZURZUVAE; the deal, which received unanimous board approval, is expected to close in the third quarter of 2025, subject to regulatory approvals, adding ZURZUVAE to Supernus' CNS portfolio alongside products like Qelbree, ONAPGO, and GOCOVRI while generating up to $200 million in annual cost synergies. Earlier, in September 2024, Biogen terminated its option on the SAGE-324 program, effective February 2025, following prior challenges including a 2024 restructuring with layoffs of 33% of its workforce to support ZURZUVAE commercialization amid collaboration revenues of $36.1 million in 2024 and $23.2 million in Q2 2025.
