- Derluks Yatirim Holding AS is a diversified Turkish investment holding company engaged in apparel manufacturing, renewable energy generation, and fast-moving consumer goods (FMCG) distribution and marketing. Founded in 2002 and headquartered in Istanbul, Turkey, the company operates through several operating subsidiaries and serves domestic and international markets across Europe, Central Asia, the Middle East, and North America.
The company organizes its business operations into three primary segments: Ready-to-Wear Apparel, Renewable Energy, and FMCG and Distribution. Through its apparel division, operating under the proprietary Emiliano Zapata brand, the company designs, manufactures, wholesales, retails, and exports premium men's outerwear, genuine leather jackets, shearling garments, tailored suits, blazers, trousers, shirts, knitwear, casual apparel, footwear, and fashion accessories across more than 30 countries via dedicated retail boutiques, multi-brand department stores, and digital commerce channels. In the renewable energy segment, the company develops, owns, and operates grid-connected solar photovoltaic power plants located across multiple provinces in Turkey, including Agri, Adiyaman, Izmir, and Sanliurfa, with an aggregate installed capacity of 15.32 MWp, while also holding electricity supply licenses for commercial power sales. Through its FMCG and distribution business, managed by wholly owned subsidiary Vizyon Global Tuketim Malzemeleri Pazarlama Sanayi Ticaret AS, the company operates nationwide warehousing, logistics, and wholesale distribution networks; serves as an authorized regional distributor for beverage and food brands such as Erikli, Nestle, Tuborg, Fresa, and Meysu; manages nationwide sales networks for Koska confectionery products; and produces and markets proprietary consumer product lines, including Frozen Kitchen frozen bakery goods, pastries, and dough products, as well as Pafity companion animal pet foods and cat litter.
In recent corporate developments, the company executed a major strategic restructuring by merging its apparel subsidiary Emiliano Zapata Giyim ve Sanayi AS with its renewable energy unit Toprak Yenilenebilir Enerji Sanayi Ticaret AS to form Soho Giyim ve Enerji AS, creating an integrated operating platform consolidating its textile and clean energy assets. Derluks Yatirim Holding subsequently initiated and advanced regulatory filings with the Capital Markets Board of Turkey (SPK) for the planned initial public offering (IPO) of Soho Giyim ve Enerji AS. To fund ongoing portfolio expansion and optimize its balance sheet, the company approved and executed substantial equity capital expansions, including a bonus issue raising paid-in capital from TRY 197.3 million to TRY 989.2 million, alongside securing SPK approval for a TRY 2.0 billion debt issuance ceiling to issue short- and medium-term financing bonds to qualified institutional investors. Additionally, the company has expanded commercial operations for its proprietary consumer goods brands, securing broader retail and supermarket distribution contracts for its Frozen Kitchen and Pafity product lines.
