In October 2025, ESSA completed its acquisition by XenoTherapeutics Inc., a Massachusetts-based non-profit biotechnology organization advancing xenotransplantation research, through a plan of arrangement under which ESSA shareholders received approximately $0.1242 per common share plus a contingent value right potentially worth up to $0.14 per share contingent on resolution of certain liabilities; the transaction followed an amended business combination agreement announced in September 2025 with XOMA Royalty Corporation acting as structuring agent and financier, leading to delisting from Nasdaq and a strategic shift from independent prostate cancer drug development operations.
