Business
Lavoro Limited (Nasdaq: LVRO) is Brazil's largest agricultural inputs retailer and a leading provider of agricultural biologics inputs, operating through three reportable segments: Brazil Ag Retail, LATAM Ag Retail, and Crop Care. The company distributes a comprehensive portfolio of agricultural inputs including crop protection products, seeds, fertilizers, foliar fertilizers, biologicals, adjuvants, organominerals, and other specialty products tailored for major crops such as soy, corn, cotton, sugarcane, and beans; through its Crop Care segment, it produces and imports vertically integrated specialty fertilizers, crop protection products, proprietary biological crop inputs, and private label offerings. Founded in 2017 and headquartered in São Paulo, Brazil, Lavoro serves over 72,000 customers, primarily small and medium-sized farmers, via more than 210 retail locations, over 1,000 technical sales representatives, and a digital marketplace, with geographic operations spanning Brazil (including key states like Mato Grosso, Paraná, Minas Gerais, Mato Grosso do Sul, Rio Grande do Sul, and São Paulo), Colombia (across 30 states), Uruguay, and plans for expansion into Peru, Chile, Paraguay, and Ecuador. In recent developments, Lavoro Brazil, the company's primary operating subsidiary, reached an out-of-court restructuring agreement in June 2025 with principal agricultural input suppliers to extend payment terms on approximately R$2.5 billion (about $430 million) in trade payables, secure multi-year product supply and inventory financing frameworks, and mitigate supply chain disruptions following inventory shortages that contributed to a 38% year-over-year decline in preliminary second quarter fiscal 2025 revenue; this EJ Plan, filed with the São Paulo court, gained creditor support reaching 64% by late 2025 and provides financial flexibility through rescheduled repayments over two to five years. Earlier, the company established a R$310 million three-year credit facility and announced receipt of a Nasdaq non-compliance notice in November 2025 for delayed Form 20-F filing, with plans to regain compliance within 180 days. These measures support ongoing recovery efforts amid operational challenges in its core Brazil Ag Retail segment, which generates the majority of revenue.
