Mars Acquisition Corp. (NASDAQ: MARXU) is a blank check company, or special purpose acquisition company (SPAC), whose principal business activity is to effect a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization, or similar business combination with one or more businesses. Incorporated in the Cayman Islands in 2021 and headquartered at Americas Tower, 1177 Avenue of the Americas, Suite 5100, New York, New York, the company has no significant operations of its own and targets opportunities in cryptocurrency and blockchain, automobiles, healthcare, financial technology, cyber security, cleantech, software, Internet and artificial intelligence, specialty manufacturing, and other related technology innovations; prior to any business combination, it holds the net proceeds of its February 2023 initial public offering of $69 million, including the full exercise of the underwriter's over-allotment option, in a trust account. In its most significant development, Mars Acquisition Corp. completed a reverse merger business combination with ScanTech Identification Beam Systems, LLC on January 2, 2025, following shareholder approval on December 12, 2024, resulting in the combined entity operating as ScanTech AI Systems Inc. (NASDAQ: STAI) with trading commencing under the new ticker on January 3, 2025; this transaction, originally announced September 5, 2023, involved multiple deadline extensions, including to February 16, 2025, and positions the post-merger company to commercialize ScanTech's advanced non-intrusive fixed-gantry computed tomography (CT) screening systems such as SENTINEL CT for carry-on baggage inspection and ALL SECURE for multi-energy cargo inspection, powered by proprietary artificial intelligence, machine learning, and Ray-Trace Biopsy technology for automated detection of explosives, narcotics, weapons, and contraband; ScanTech's solutions serve aviation, defense and security, ports and borders, nuclear and critical infrastructure, correctional facilities, cargo and freight, and public events markets internationally, with certifications including U.S. Transportation Security Administration (TSA) Tier-2 Explosive Detection Standard, European Civil Aviation Conference (ECAC) requirements, and Underwriter’s Laboratory (UL) for safety and electromagnetic compliance.
