Business
Maiden Holdings, Ltd. (Nasdaq: MHLD) is a Bermuda-based holding company that, through its subsidiaries, provides property and casualty insurance and reinsurance solutions to regional and specialty insurers in Europe, North America, and internationally. The company operates primarily in two segments, Diversified Reinsurance and AmTrust Reinsurance, offering non-catastrophic customized reinsurance products including quota share and excess of loss treaties; inland marine and property coverage; small commercial business insurance such as U.S. workers' compensation, commercial package, and low-hazard property and casualty products; specialty risk and extended warranty coverage for consumer and commercial goods including accidental damage plans and payment protection plans; auto and credit life insurance products through insurer partners; retroactive risk underwriting with legacy services for small insurance entities; and fronting services to insurance program managers, managing general agents, reinsurers, and reinsurance brokers. Subsidiaries include Maiden Re and Maiden Specialty in the United States, Maiden International in Europe, and Maiden Insurance in Bermuda, with headquarters in Hamilton, Bermuda, where the company was founded in 2007. In a major strategic shift announced December 30, 2024, and completed May 27, 2025, Maiden Holdings combines with Kestrel Group, LLC via a reverse merger to form Kestrel Group Ltd., positioning the business as a leading nationwide specialty program group with Maiden shareholders owning about 65% of the combined entity and shares ceasing Nasdaq trading under MHLD; earlier, in December 2024, it sold Maiden General Försäkrings AB and Maiden Life Försäkrings AB to reduce operating costs by nearly 20% and reallocate capital to fee-based, capital-light initiatives; and in Q1 2025, it advanced a pivot to a fee-based platform with targeted transactions.
