Headquartered in Atlanta, Georgia, since its relocation from Norfolk, Virginia, in 2021, the company traces its origins to the 1982 merger of Norfolk and Western Railway and Southern Railway, with railroading roots dating to 1827. Norfolk Southern connects major ports along the Atlantic and Gulf Coasts, interchanges with all other Class I railroads, and serves diverse customers including manufacturers, retailers, logistics providers, utilities, and steel producers across the Southeast, Northeast, Midwest, and Central Appalachia. In July 2025, Norfolk Southern entered into a definitive agreement to be acquired by Union Pacific Corporation in a $85 billion stock-and-cash transaction valuing Norfolk Southern at $320 per share, a 25% premium, aiming to create America's first modern transcontinental railroad spanning over 50,000 route miles across 43 states and linking 100 ports, with shareholder approval secured in November 2025 and a targeted closing by early 2027 pending Surface Transportation Board review. This strategic combination promises enhanced freight services, reduced transit times, operational synergies exceeding $30 billion in value, and preserved union jobs, while pausing share repurchases post-second quarter 2025 per merger terms.
