Business
SK Growth Opportunities Corporation is a blank check company, or special purpose acquisition company (SPAC), whose primary purpose is to effect a merger, capital stock exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses or entities, with a focus on targets developing technologies and products addressing ESG-related issues or operating consistent with ESG principles. The company offers no operational products or services prior to completing an initial business combination but maintains a trust account funded by its initial public offering proceeds for deployment in such transactions. Incorporated as a Cayman Islands exempted company, SK Growth Opportunities was founded on December 8, 2021, and is headquartered at 228 Park Avenue South, Suite 96693, New York, New York. In its most significant recent development, SK Growth Opportunities completed a business combination with Webull Corporation on April 16, 2025, through a reverse merger transaction valuing the combined entity at an implied pro forma enterprise value of approximately $7.3 billion; upon closing, SK Growth became a wholly owned subsidiary of Webull, with SK Growth's ordinary shares and warrants converting to those of Webull (NASDAQ: BULL), and Webull shareholders owning approximately 98% of the post-combination company. The transaction, initially announced on February 27, 2024, received unanimous board approval from both entities, shareholder approval from SK Growth on March 30, 2025, and followed multiple deadline extensions, including amendments to the business combination agreement in March and April 2025 to accommodate regulatory processes. This merger marks SK Growth's transition from a standalone SPAC to integration within Webull's global digital investment platform operations spanning the United States, Asia Pacific (including Hong Kong SAR, Singapore, Japan, Indonesia, Thailand, and Malaysia), Europe (United Kingdom), Latin America (Brazil, Mexico), Australia, South Africa, and Canada.
