Business
Talis Biomedical Corporation Talis Biomedical Corporation (TLIS) operates with no significant ongoing business activities, having ceased substantially all research, development, and manufacturing operations to pursue strategic alternatives focused on maximizing stockholder value. Incorporated in 2010 as SlipChip LLC in Illinois and renamed in 2018, the company, headquartered at 1375 West Fulton Market, Suite 700, Chicago, Illinois 60607, previously developed the Talis One point-of-care molecular diagnostic system for infectious diseases, including a compact instrument, single-use test cartridges with integrated sample preparation and isothermal nucleic acid amplification technology for rapid results in under 30 minutes, and Sia Dx cloud-connected software for data management and remote instrument oversight; core products targeted women's health and sexually transmitted infections such as Chlamydia trachomatis/Neisseria gonorrhoeae/Trichomonas vaginalis (CT/NG/TV) panels, respiratory panels for influenza A/B and COVID-19, vaginal infection panels, urinary tract infection tests, and herpes simplex virus assays, designed for deployment in physicians' offices, urgent care clinics, and decentralized settings across the United States with plans for international expansion including CE Mark authorization. The Talis One system featured high accuracy with limits of detection as low as 500 viral particles per milliliter or one infectious unit per milliliter for bacteria, ease of use requiring under two minutes of hands-on time by untrained operators, scalability for multi-instrument deployments, and low-cost manufacturing via automated cartridge lines. In recent major changes, the company implemented a 1-for-15 reverse stock split in July 2023 to meet Nasdaq listing requirements, consolidated operations from Redwood City, California to Chicago in late 2023 amid product development setbacks and market volatility, retained TD Cowen as financial advisor in November 2023 to evaluate options including mergers, acquisitions, asset divestitures, licensing deals, financing, or voluntary liquidation, settled a $32.5 million securities class action lawsuit in 2024 related to its 2021 IPO with insurance covering part of the payment, resolved a sublease dispute with Kriya Therapeutics via a $1.9 million payment, and saw Baker Bros. Advisors LP increase its stake to approximately 65.6% in October 2024; these actions reflect ongoing financial challenges with minimal revenue, net losses, delisting to OTC markets, and a workforce reduction to about 99 employees while exploring pathways to preserve cash and potentially wind down if no transaction materializes.
