Business
VBI Vaccines Inc. (Nasdaq: VBIV) is a biopharmaceutical company that develops and commercializes vaccines and immunotherapeutics targeting infectious diseases and immuno-oncology using proprietary enveloped virus-like particle (eVLP) platform technology and mRNA-launched eVLP (MLE) platform technology. The company offers PreHevbrio, a three-antigen recombinant hepatitis B vaccine approved for prevention of infection in adults 18 years and older; Sci-B-Vac, a third-generation single-antigen hepatitis B vaccine; and investigational candidates including VBI-1901, an immunotherapy for recurrent glioblastoma; VBI-2601, a hepatitis B immunotherapeutic; cytomegalovirus (CMV) vaccine candidates; and pan-coronavirus vaccines such as VBI-2901, VBI-2902, and VBI-2905. These products and programs leverage virus-like particles that mimic natural viral structures to elicit potent immune responses for prevention and treatment across adult, pediatric, and newborn populations. Founded in 2001 (formerly known as SciVac Therapeutics Inc., renamed in May 2016) and headquartered in Cambridge, Massachusetts, VBI Vaccines maintains research and development facilities in Ottawa, Ontario, Canada, and formerly operated a research and manufacturing site in Rehovot, Israel. The company serves global markets with a focus on unmet needs in hepatitis B, cytomegalovirus, coronaviruses, and aggressive cancers like glioblastoma, through collaborations including those with Brii Biosciences Limited, the National Research Council of Canada, and the Coalition for Epidemic Preparedness Innovations. In April 2024, VBI Vaccines announced an agreement with Brii Biosciences to sell its Rehovot manufacturing capabilities and related assets, intellectual property for VBI-2601, and grant an exclusive Asia Pacific (excluding Japan) license for VBI-1901, potentially yielding up to $33 million in consideration and reducing debt by approximately 70% to $17 million upon completion targeted for June 2024. Later in 2024, the company initiated restructuring proceedings under the Canadian Companies' Creditors Arrangement Act (CCAA) to review strategic alternatives, issued a voluntary nationwide recall of all PreHevbrio vaccine within expiry due to discontinuation of operations, permanently ceased U.S. distribution of PreHevbrio, and began rapidly winding down U.S. operations. Additional recent developments include expanded strategic partnerships with the Canadian government for the MLE platform, positive interim Phase 2b data for VBI-1901 in recurrent glioblastoma presented at the 2024 ASCO Annual Meeting, and a $2 million registered direct offering in 2024. As of early 2025, VBI Vaccines plans an office move impacting its Cambridge location.
