- MetroGas S.A. Class B is an Argentina-based regulated public utility company engaged in the purchase, distribution, and commercialization of natural gas. Founded in 1992 following the privatization of the state-owned enterprise Gas del Estado and headquartered in Buenos Aires, Argentina, the company operates as the largest natural gas distribution utility in Argentina by customer base and delivered volume, managing an infrastructure network of more than 18,600 kilometers of distribution pipelines across a concession area of approximately 2,150 square kilometers. MetroGas S.A. conducts its business through two primary operational segments: Gas Distribution and Energy Trading. The company's core product and service offerings comprise regulated residential natural gas distribution for domestic heating, cooking, and hot water supply; commercial natural gas delivery services tailored to small and medium-sized commercial enterprises; compressed natural gas (CNG / GNC) delivery to vehicular service station networks; high-pressure natural gas distribution and capacity reservation services for large-scale industrial plants; delivery services to thermal electric power generation facilities; and specialized gas network connection, meter installation, grid maintenance, and technical inspection services. Through its 95%-owned subsidiary, MetroENERGÍA S.A., the company operates in the deregulated energy market, providing wholesale natural gas marketing and trading; direct gas supply contracts for large industrial and thermal generation accounts; customized gas portfolio management; and natural gas transportation logistics and intermediation services. The company's Class B common shares trade publicly on the Bolsas y Mercados Argentinos (BYMA) under the ticker symbol METR, serving more than 2.4 million active customer connections across the Autonomous City of Buenos Aires and eleven municipalities in the southern metropolitan area of Greater Buenos Aires, including Avellaneda, Lanús, Lomas de Zamora, Quilmes, Berazategui, Florencio Varela, Almirante Brown, Esteban Echeverría, Ezeiza, Presidente Perón, and San Vicente. In recent major developments, controlling shareholder YPF S.A. accepted an acquisition offer from electricity distributor Edenor (Edelcos consortium) to acquire YPF's 70% controlling equity interest in MetroGas S.A. for 780 million USD as part of YPF's strategic Plan 4x4 divestment program focused on unconventional upstream development in Vaca Muerta. In conjunction with this transaction, the Argentine Ministry of Economy suspended historical mandatory divestment requirements on YPF under the Plan Gas.Ar regulatory structure. Furthermore, the company has implemented updated tariff frameworks authorized by the national gas regulator (ENARGAS) under the Five-Year Tariff Review (RQT) and targeted energy subsidy systems, while advancing the formal administrative process for a 20-year extension of its natural gas distribution concession through 2047 under the national economic framework of the Ley Bases.
