Business
Live Ventures Incorporated (Nasdaq: LIVE) operates as a diversified holding company focused on acquiring and managing U.S.-based middle-market businesses across multiple sectors. The company conducts operations through five primary segments: Retail-Entertainment, via Vintage Stock, which sells new and pre-owned movies, video games, music on CD and LP, comics, books, toys, collectibles, and related services including rentals, special orders, disc and video game hardware repair; Retail-Flooring, through Flooring Liquidators, offering flooring, carpeting, cabinets, countertops, and installation services to consumers, builders, and contractors via 20 warehouse-format stores and a design center in California and Nevada; Flooring Manufacturing, via Marquis Industries, which designs, manufactures, sources, and distributes carpets, rugs, yarn, and hard-surface flooring products for residential, niche commercial, and hospitality markets through four U.S. facilities; Steel Manufacturing, through Precision Industries and Precision Marshall Steel Company, producing pre-finished de-carb free tool and die steel including deluxe alloy plate, deluxe tool steel plate, precision ground flat stock, drill rod, industrial knives, hardened wear products, engineered parts, components, and specialized fabricated metal products such as cable racks, auxiliary framing, hardware, insulation, and network bays for industries including tissue, metals, wood, appliance, automotive, hardware, electrical, electronic, and medical; and Corporate and Other, supporting additional products and services. Live Ventures targets closely held or family-founded companies with annual earnings of $5 million to $50 million, defensible market positions, stable cash flows, and growth potential, partnering with management teams under a buy-build-hold strategy to enhance shareholder value. Founded in 1968 and headquartered in Las Vegas, Nevada, the company underwent a strategic refocus in 2015 when it adopted its current name following CEO Jon Isaac's leadership starting in late 2011. Recent developments include the 2022 acquisitions of The Kinetic Co. for $26 million and Flooring Liquidators for $84 million; a February 2025 renegotiation of acquisition-related debt, reducing a $34 million note to $15 million principal while amending executive employment terms for Stephen J. Kellogg of Flooring Liquidators; CEO Jon Isaac's purchase of 55,796 shares valued at approximately $385,000 in open market transactions on March 25-27, 2025; fiscal second quarter 2025 results showing adjusted EBITDA of $6.4 million, up 446% year-over-year due to cost reductions in Retail-Flooring; and fiscal year 2024 financials with revenues of approximately $467 million, culminating in a swing to $21.7 million net income as reported in September 2025.
