Gold Reserve Ltd. (TSX.V: GRZ; OTCQX: GDRZF; BSX: GRZ.BH) primarily focuses on managing and monetizing a portfolio of legal and arbitral claims arising from disputes with the Venezuelan government, including the CITGO Proceedings in the U.S. District Court for the District of Delaware involving the auction of shares in PDV Holding, the parent of Citgo Petroleum; the Portugal Attachment Proceedings; and the Siembra Minera Arbitration Proceedings related to gold, copper, silver and other mineral rights in Bolivar State, Venezuela. The company also holds interests in mining projects such as the LMS Gold project in Alaska, United States, and maintains historical involvement in the Brisas-Velasco and Las Cristinas gold-copper projects in Venezuela through a joint venture structured as Empresa Mixta Siembra Minera S.A. Founded in 1956 as the successor to Gold Reserve Corporation, the Vancouver-based entity was incorporated in 1998 under Yukon Territory laws, continued to Alberta in 2014, and redomiciled to Pembroke, Bermuda in September 2024; it targets creditors, investors and stakeholders in the mining and energy sectors with operations spanning North America, South America and Europe. In recent developments, Gold Reserve's U.S. subsidiary Dalinar Energy Corporation submitted a US$7.38 billion topping bid in the CITGO auction, initially recommended as the winner by the Special Master in 2025 before the Delaware District Court adopted a rival Elliott/Amber Energy $5.9 billion bid, prompting multiple appeals including from Gold Reserve following the entry of the Final Sale Order on December 1, 2025. The company prevailed in an ICC arbitration against Banco de Desarrollo Económico y Social de Venezuela (Bandes) in November 2025, secured a favorable decision from Portugal's Supreme Court, filed a complaint in Delaware Chancery Court against Rusoro Mining Ltd., and pursued a mandamus petition with the U.S. Court of Appeals. Additional updates include closing a US$30 million private placement, obtaining BSX approval for a secondary listing of common shares, appointing a new Board Chair in November 2025, and ongoing responses to a CRA audit; Steelhead Partners LLC acquired a significant stake representing nearly 99% ownership in July 2024.
