(NYSE American: RHEP) is a self-managed healthcare real estate investment company that owns, leases and subleases properties primarily purposed for senior living and long-term care, including skilled nursing facilities, assisted living facilities, independent living communities, memory care units and multi-service campuses offering skilled nursing services comprising daily nursing, therapeutic rehabilitation, social services, activities, housekeeping, nutrition, medication management and administrative services; independent living community services; assisted living services; and specialized dementia care programs. Founded in 1991 as the successor to AdCare Health Systems, Inc., which changed its name in October 2017, the company is headquartered in Atlanta, Georgia, and operates a portfolio of 11-12 geographically dispersed facilities totaling approximately 1,200 beds across five states, including Ohio (39%), Georgia (23%), Alabama (15%), South Carolina (15%) and North Carolina (8%), with properties under long-term triple-net leases generating predictable rental income from third-party operators and select facilities under direct management following tenant transitions. The company derives revenue principally from its real estate leasing segment and healthcare services segment, targeting operators and residents in the long-term care and senior housing markets. Recent strategic developments include taking back operations of facilities from defaulted leases, such as Meadowood Retirement Village in April 2022, Glenvue Health & Rehab in September 2022, Mt. Trace in November 2024 with a management partnership to CJM Advisors, Southland in February 2025, and Sumter and Georgetown in March 2025; securing a $500,000 line of credit; entering a definitive merger agreement in January 2025 with SunLink Health Systems, Inc., an all-stock transaction expected to close in summer 2025 with SunLink shareholders owning about 43% of the combined entity, projected to create a vertically integrated platform with $72 million in 2026 revenue, over $1 million in annual cost synergies by year two, integration of SunLink's Carmichael’s Cashway Pharmacy operations including retail, institutional pharmacy and durable medical equipment services, a strengthened balance sheet adding $6 million in cash, and leadership continuity under Chairman and CEO Brent Morrison.
