Business
Alaris Equity Partners Income Trust (TSX: AD.UN) is a Calgary-based limited-purpose open-ended trust that, through its subsidiaries including Alaris Equity Partners Inc. and Alaris Equity Partners USA Inc., provides alternative non-control equity financing to a diversified portfolio of lower middle-market private companies across North America in exchange for royalties, distributions, or preferred equity positions; these investments target mature businesses in sectors such as business services, professional services, information services, healthcare services, distribution and logistics, industrials, consulting services, consumer products, and construction-related services, while avoiding startups, turnarounds, declining asset-base industries like oil and gas resources, or high-tech sectors prone to obsolescence. The Trust structures its investments primarily as permanent capital solutions, including preferred limited partnership interests, common or preferred interests in U.S. limited liability companies, and loans receivable, with distributions from partner companies adjusted annually based on top-line performance metrics such as gross margin or same-store sales and ranking in priority to common equity; it operates with approximately 20 employees and maintains a focus on generating stable, predictable cash flows for quarterly distributions to unitholders. Founded in 2004 and headquartered at Burnet, Duckworth & Palmer LLP in Calgary, Alberta, Canada, the Trust converted from a corporate structure to an income trust structure on September 1, 2020, shifting from monthly corporate dividends to quarterly trust distributions, which have since increased multiple times, reaching an annualized $1.36 per unit in 2024 and $1.02 for the first three quarters of 2025. In recent developments, the Trust completed a strategic recapitalization with Ohana Growth Partners, LLC in Q4 2024, raising US$120 million from independent investors to expand third-party assets under management (AUM) to over $700 million, bringing total capital to more than $2.2 billion including $1.5 billion in invested capital, and exchanged $187 million of existing Ohana equity for new equity; it also made a US$14 million follow-on investment in Cresa, increasing total exposure to US$30 million, and subsequently invested in new partners including The Berg Demo Holdings, LLC. Throughout 2025, Alaris announced and closed a C$115.5 million investment into Optimus SBR Inc. and Optimus SBR Limited Partnership, a Canadian independent management consulting firm, on November 6, 2025; launched multiple convertible unsecured senior debenture offerings, including a $115 million 6.25% bought deal closed on December 17, 2025, a $75 million offering announced December 1, 2025 paired with a US$30 million investment in a new partner, and an earlier $80 million 6.50% offering closed June 2, 2025 with a US$21.5 million follow-on in The Shipyard; additionally, it declared a 9% distribution increase on October 21, 2025, alongside new investments, appointed a new board member on January 9, 2025, and received TSX acceptance for a normal course issuer bid on January 2, 2025. The Trust continues to prioritize growth through selective deployments into existing and new partners, redemptions such as Brown & Settle in April 2024, and capital market activities to support its portfolio expansion across the U.S. and Canada.
