(NYSE: VATE) operates as a diversified holding company with subsidiaries focused on infrastructure, life sciences, and spectrum segments primarily in the United States; its infrastructure unit through DBM Global Inc. provides fully integrated construction and professional services including design-assist, modularization, fabrication and erection of structural steel, heavy steel plate, trusses and girders, heavy equipment installation, as well as facility maintenance and shutdown services for critical sectors such as infrastructure and energy; the life sciences segment encompasses Pansend Life Sciences developing innovative healthcare technologies to address unmet needs, R2 Technologies offering an FDA-cleared device to soothe, brighten skin and treat visible signs of aging caused by inflammation in the global aesthetic dermatology market, and MediBeacon providing the FDA-approved Transdermal GFR System (TGFR), a point-of-care product for assessing kidney function in patients with normal or impaired renal function targeting a $7 billion market; the spectrum segment operates through HC2 Broadcasting Holdings Inc. and subsidiaries, owning and managing one of the largest broadcast station groups in the U.S. with 256 stations in 106 markets and 2.3 billion MHz POPs of spectrum for over-the-air broadcasting. Founded in 1994 and headquartered at 295 Madison Avenue, 12th Floor, New York, New York, the company, formerly known as HC2 Holdings, Inc. and tracing roots to Primus Telecommunications Group, rebranded to INNOVATE Corp. in September 2021 to emphasize innovative growth businesses across its portfolio serving industrial, healthcare, biotechnology, and media markets. In a significant recent development, INNOVATE Corp. completed a comprehensive debt refinancing in August 2025, restructuring 81.7% of its total outstanding principal debt as of June 30, 2025, by exchanging $328.1 million of existing senior secured notes for new 10.500% Senior Secured Notes due 2027, $48.7 million convertible senior notes for new 9.5% Convertible Senior Secured Notes, amending various credit facilities, and exchanging preferred stock for additional note principal resulting in a $43.0 million CGIC note, while extending maturities on its revolving credit agreement to September 2026, CGIC note to April 2027, Spectrum Notes to September 2026, and R2 Technologies note to August 2026 to enhance financial flexibility.
