In recent major developments, Ideanomics and several subsidiaries filed voluntary petitions for reorganization under Chapter 11 of the U.S. Bankruptcy Code on December 4, 2024, in the U.S. Bankruptcy Court for the District of Delaware, primarily to facilitate the sale of substantially all assets amid over $30 million in debt and limited cash reserves. The company entered into an asset purchase agreement with Tillou Management and Consulting LLC as the stalking horse bidder, securing debtor-in-possession financing including up to $11.6 million in new money and rolled-up prepetition obligations to support operations during the process; the sale of WAVE Charging assets and others was authorized by court order on February 26, 2025, and completed in March 2025 via a Section 363 auction, with no proceeds distributed to shareholders after settling obligations.
